Terms of Service
STATUS: DRAFT — NOT LEGAL ADVICE — REQUIRES ATTORNEY REVIEW BEFORE PUBLISHING. This document was drafted by an AI assistant to give a South African attorney a concrete starting point, grounded in how the SA Legal Doc Summariser product actually works as of 2026-07-13. It has not been reviewed by a qualified lawyer and must not be published, relied upon, or treated as enforceable until it has been.
[TODO: ...]markers show facts or decisions that need to be confirmed or supplied before this is publishable — do not delete them until they're resolved.
Last updated: [TODO: date of attorney sign-off]
1. Who You're Contracting With
[TODO: legal entity or trading name and registration details — same open question as Privacy Policy § 1. As of this draft, no registered company was found anywhere in the codebase; confirm whether the Service is operated as a sole proprietorship or a registered entity before this can be finalised, since it changes who the counterparty to this contract actually is and what liability protection exists.]
These Terms of Service ("Terms") govern your use of SA Legal Doc Summariser
("the Service"), available at salegal.buildyard.co.za.
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and AI Analysis Disclaimer.
2. What the Service Does
The Service uses AI (currently Anthropic's Claude models) to analyse contracts and legal documents you submit, and returns a plain-English summary including flagged risks and suggested questions.
The Service is not a law firm and does not provide legal advice. See the AI Analysis Disclaimer, which is incorporated into these Terms by reference.
3. Eligibility
You must be at least 18 years old and have the legal authority to accept these Terms — for a business account, on behalf of that business — to use the Service.
4. Your Account
- Access is via a passwordless "magic link" sent to your email address — keep your email account secure, since anyone with access to it can access your Service account.
- You're responsible for the accuracy of the email address you provide and for all activity under your account.
[TODO: attorney to confirm whether any additional account-security terms are needed given the passwordless auth model.]
5. Free Trial and Subscription
- New accounts receive 1 free document analysis.
[NOTE: this number is defined in code (lib/constants.ts, FREE_TRIAL_LIMIT) and has changed before (3 → 1, 8 Jul 2026, cost reduction) — if this number changes again, update this clause to match rather than letting it drift out of sync with the actual product.] - After the free trial is used, continued access requires a paid
subscription, currently R149/month ("Pro").
[TODO: confirm current live pricing before publishing — check docs/marketing.md and the live Lemon Squeezy product against this figure, since pricing can change independently of this document.] - Pro includes unlimited analyses, PDF/
.docxupload, and team sharing[TODO: confirm this feature list against what Pro actually unlocks in the live app at time of publishing.] - Billing is processed entirely by Lemon Squeezy, our payment processor and Merchant of Record. Lemon Squeezy handles payment collection, VAT, and card data — we never receive or store your card details.
- Subscriptions renew automatically each billing period until cancelled.
[TODO: cancellation process, refund policy (if any), and what happens to your access/data if you cancel or your payment fails — none of this is currently defined anywhere in the codebase or docs. This needs an actual business decision from Eldrid before an attorney can draft precise wording; don't let the attorney invent a refund policy that wasn't actually decided on.]
6. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose;
- submit documents you don't have the right to share, or that contain another person's personal information without a lawful basis for doing so;
- attempt to circumvent rate limits, free-trial limits, or authentication;
- attempt to reverse-engineer, scrape, or extract the Service's underlying AI prompts or models;
- resell or provide the Service's output as a substitute for your own
licensed legal practice, if you are a legal professional using the
Service in that capacity.
[TODO: attorney to advise whether this last point needs to be stronger — e.g. explicit terms for law firms/paralegals using the tool commercially, if that's an anticipated user segment.]
We may suspend or terminate accounts that violate this section.
7. Intellectual Property
- You retain all rights to the documents you submit. Submitting a document for analysis does not transfer any ownership or license beyond what's needed to process it and return your results.
- The Service's software, AI prompts, branding, and analysis-report format are our intellectual property (or licensed to us).
[TODO: attorney to advise on ownership of the AI-generated analysis output itself — this is a genuinely unsettled area of IP law involving AI-generated content and should get real legal input rather than an assumed answer.]
8. Disclaimers and Limitation of Liability
- The Service is provided "as is" and "as available," without warranty of any kind, express or implied.
- See the AI Analysis Disclaimer — the Service's output is AI-generated general information, not legal advice, and may contain errors or omissions.
- We do not guarantee uninterrupted or error-free availability of the
Service.
[NOTE for attorney context, not for publication: the underlying database infrastructure currently runs on a free tier that can auto-pause after ~1 week of inactivity, and this is a real, known operational risk as of this draft — not hypothetical. This clause should be robust regardless of whether that's resolved before launch, but flag to Eldrid separately that resolving the underlying infra risk matters more than the wording here.] [TODO: attorney to draft the actual liability cap / exclusion language — e.g. limiting liability to fees paid in the preceding 12 months, excluding indirect/consequential damages — calibrated to what's actually enforceable and appropriate under South African law (note the Consumer Protection Act restricts how far liability can be excluded against consumers — confirm whether/how CPA applies here given the target market is SMEs, not necessarily "consumers" in the CPA sense).]
9. Indemnification
[TODO: attorney to draft — typically covers claims arising from your misuse of the Service or breach of these Terms.]
10. Termination
- You may stop using the Service and cancel your subscription at any time.
[TODO: link to actual cancellation mechanism once defined per § 5.] - We may suspend or terminate your account for violation of these Terms,
including the Acceptable Use section (§ 6), with
[TODO: notice period/process, if any].
11. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa.
[TODO: attorney to specify jurisdiction/venue for disputes, and whether any alternative dispute resolution process (e.g. arbitration) should apply before litigation — not assumed here.]
12. Changes to These Terms
[TODO: attorney to specify the notice mechanism for material changes to these Terms — same as Privacy Policy § 11, keep consistent.]
13. Contact
[TODO: same public contact-address gap flagged in the Privacy Policy — no monitored public support address currently exists. Resolve once, use the same address consistently across all three legal documents.]
